SAP proposes a dividend increase of €2.45 ​​per share

WALLDORF, Germany, February 24, 2022 /PRNewswire/ — The Supervisory Board and Board of Directors of SAP SE (NYSE: SAP) have decided to recommend that shareholders approve a dividend of €2.45 ​​per share for fiscal year 2021. This represents a increase of approximately 32% year-on-year. %. This payment includes an exceptional dividend of €0.50 to celebrate SAP’s 50th anniversary. If the shareholders approve this recommendation, based on the number of treasury shares in the December 31, 2021, the total amount of dividends to be distributed would be approximately €2.89 billion (2020: €2.18 billion), i.e. a payout ratio of 54% (2020: 41%). Excluding the exceptional dividend, the ratio would be around 43%. The dividend for the 2021 financial year should be paid on or after May 23, 2022.

Supervisory Board elections
On the proposal of the Appointments Committee, the Supervisory Board has nominated three candidates for re-election at the 2022 General Meeting of Shareholders, in line with the Skills and Competencies Profile and the objectives set by the Supervisory Board for its own composition .

The candidates are:

Appointment of lead independent director
SAP’s supervisory board introduces the role of lead independent director. With this newly created role, the Supervisory Board reinforces its alignment with international best practices in corporate governance, emphasizing the importance of the independence of the Supervisory Board. dr. Friederike Rotschmember of the Supervisory Board since 2018, will assume this position at the end of the General Meeting of Shareholders of May 2022. The 2022 Annual General Meeting will be held as a virtual event
The Management Board, with the agreement of the Supervisory Board, has decided to hold the 2022 General Meeting of Shareholders as a virtual event. One SAP ADR represents one SAP SE share. The final amount of the dividend per ADR depends on the euro/US dollar exchange rate. Because SAP SE pays cash dividends on ordinary shares in euros, fluctuations in exchange rates will affect the US dollar amounts received by ADR holders. The payment of the balance of the dividend by SAP SE to the custodian bank is scheduled for May 23, 2022. The Custodian Bank will then convert the dividend payment from Euro to US Dollars as quickly as possible.
